TERMS AND CONDITIONS OF SALE
Monarch Catering Equipment Ltd (the Company) accepts all Orders and provides all Quotations subject to these Standard Terms and Conditions of Sale, which override any other terms unless stated otherwise in writing by ourselves.
Prices & Taxes
Despatch Pricing: Goods are invoiced at the price ruling on the date of despatch.
Taxes & Duties: Government taxes, import duties, levies, and fees are added at the current legislative rate and borne entirely by the Customer.
Import Costs: Any extra fees imposed on the import or purchase of goods are passed on to the customer at the distributor's rate.
Prices are current at the date of quotation but may be subject to manufacturers’ increases before a firm order is received
Payment Terms
Project Structure: All projects are on a pro forma basis unless expressly agreed in writing by ourselves and subject to satisfactory credit evaluation.
Account Terms: Payments must be made via Direct Online Bank Transfer in accordance with agreed account credit terms or quotation terms.
Discounts: Agreed discounts only apply if invoices are paid within the specified period and would be applied at the final payment if under an agreed payment plan.
Late Payments: The Company reserves the right to charge late payment interest at 8% above the Bank of England base rate, plus debt recovery costs.
Account Enforcement: Further supplies may be withheld if an account is overdue.
Lead Times & Risk
Volatile Timelines: Lead times are volatile; expected dates are advised in line with suppliers once formal orders are placed.
No Liability for Delays: The Company is not responsible for failed delivery dates caused by suppliers.
Transfer of Risk: Risk in the goods passes to the Buyer immediately upon delivery.
Ownership & Retention of Title
Title Retention: Legal title stays with the Company until full payment has been received. This includes goods you have taken possession of.
Insurance claims: The full amount of any insurance monies reclaimed under your insurance for damaged destroyed, or the sale of goods under our legal retention, shall be held in trust for us to the extent that payment has not been made in full. The monies should be held in a credited account and be identifiable as our monies.
Right of Entry: The Buyer grants the Company the right to enter any premises where the goods are located to repossess them if payment fails.
Intellectual Property & Copyright
Exclusive Ownership: All drawings and underlying commercial layouts are the exclusive intellectual property of the Company, protected under the UK Copyright, Designs and Patents Act 1988.
IP Transfer: Intellectual property rights only transfer to the client upon full and cleared payment of all outstanding invoices.
Infringement: Unauthorised physical execution of any Company design in part or in full, prior to cleared payment constitutes direct copyright infringement.
Cancellation Following Design Stage: We reserve the right to make a charge for drawings/designs on any cancelled/not accepted schemes. The scale of charges will be reflective of the size and stage of design based on hours committed.
Claims for Loss or Damage
Damage Claims: Must be notified within three days of delivery.
Loss Claims: Must be notified in writing within 14 days of the despatch notification.
Carriage & Delivery
Standard Delivery: Free to the UK Mainland unless otherwise stated.
Small Orders: Orders under £50.00 nett value incur a small order charge.
Additional Charges: Extra fees apply for time-specific delivery, transport beyond the kerbside, restricted zones, or project installation coordination.
Guarantees & Warranties
Manufacturer Terms: The Company passes on transferable manufacturer or subcontractor warranties, provided the Customer's account is fully paid.
Performance: The Company accepts no liability for goods' performance stats stated by manufacturers.
Liability & Insurances
Exclusions: The Company is not liable for third-party claims, indirect loss, or damages caused by delivery delays, completion delays, transit issues, or equipment breakdowns.
Defective Equipment: Liability for defective items or negligence is limited strictly to rectifying the defect or replacing the parts.
Insurance Levels: Works are quoted against the Company's current insurance levels (copies available on request). Extra requirements can be quoted.
Liquidated Damages: Arrangements for liquidated damages are rejected unless expressly agreed in writing by the Company or its legal body before work begins.
Installation Requirements
The main contractor or subcontractor must complete all building finishes, first/second-fix electrics, and mechanical services (water, waste, ventilation) up to agreed termination points before Company installation begins.
Third-Party Equipment and Appliances: The Company is not responsible for installing or adjusting such items which have not been directly supplied by Monarch Catering equipment Limited.
Service Limits: All utility connections must terminate within one metre of the equipment and be concealed/flush where practical. Positioning of services must be accessible and not impede the appliance location.
Materials: Visible plumbing must be copper, terminated with the relevant fittings for the appliance, and visible waste pipes must be white solvent PVC unless specified otherwise.
Surcharges: Applied if unapproved site alterations force equipment fabrication modifications or remakes. Revisits or Abortive visits due to site unpreparedness will be charged.
Labour Costs: Standard rates cover two operatives working Monday to Friday, 9 am–5 pm. Excluding Public / Bank holidays
Overtime Rates: Time-and-a-half applies outside standard hours; double-time applies Sundays and between 8 pm and 6 am all other times outside bank/public holidays.
Exclusions: General installation excludes the removal of protective plastic coatings (can be quoted as a deep clean). Training is not included within the installation and can be quoted separately.
Project Management, Manuals & Training
Project Management: Quoted separately based on specific needs.
Manuals: Standard manufacturer manuals are left on site; custom soft/hard coordinated manuals incur extra costs.
Equipment Training: Not included unless specified; current charge rates are available upon request.
Special Orders & Returns
Bespoke Items: Custom fabricated items cannot be exchanged, returned, or restocked.
Deposits: Required for special order items in line with manufacturer terms.
Standard Returns: Unused, unneeded items in original packaging are subject to manufacturer terms (generally a 25% restocking fee), plus transportation. Deviations may result in rejected returns or higher premiums.
Implied Acceptance
Commencement of Work: Instructing the Company to proceed with design, manufacture, procurement, delivery, or installation, either verbally or in writing constitutes absolute and irrevocable acceptance of these Terms and Conditions.
Site Access: Allowing Company personnel or sub-contractors’ access to the site to begin works signifies compliance with all site preparation and payment obligations detailed herein.
Cancellation
Cancellation by the client of a written or verbal order / instruction during the project may incur a charge of up to 20% of the order value, or at a rate applicable to the manufacturers Terms & Conditions, dependant on the progress of the scheme at the time of the cancellation.
